Terms of Use & Course Purchase Terms

These Terms of Use and Course Purchase Terms (“Terms”) govern access to and use of dMix Brazil eCourses, including its website, learning-management environment, courses, assessments, certificates, community features, and related services. dMix Brazil eCourses is operated by Arpex Web LLC, a Florida limited liability company (“dMix Brazil eCourses,” “we,” “us,” or “our”). By accessing the platform, creating an account, purchasing a course, or using any course content, you agree to these Terms.

1. Eligibility

You must be legally capable of entering into a binding agreement in your jurisdiction. The platform is intended for a general professional and adult-learning audience and is not directed to children under 13.

2. Educational Nature of the Platform

dMix Brazil eCourses provides educational and professional-development content. Unless expressly stated otherwise in writing, courses do not confer an academic degree, government license, professional license, regulated credential, or academic credit. Certificates issued by the platform document completion under the stated course requirements and do not represent government accreditation or professional licensure.

3. No Professional Advice

Course content is provided for educational and informational purposes. It is not a substitute for individualized legal, tax, accounting, financial, investment, medical, psychological, mental-health, employment, or other regulated professional advice. You are responsible for obtaining qualified professional advice when appropriate to your circumstances.

4. Course Descriptions and Learning Outcomes

We seek to describe courses, curricula, access periods, learning objectives, assessments, and certificates accurately. We may make reasonable updates to course content, sequencing, examples, assessments, or technical delivery when doing so does not materially deprive the purchaser of the educational product purchased.

5. Purchases and Pricing

Prices are displayed in the currency identified at checkout. Unless otherwise stated, applicable taxes, payment-processing requirements, and other legally required charges may be added or handled at checkout. You authorize the selected payment provider to process the amount displayed and accepted by you.

6. Course Access

Course access is licensed to the individual purchaser or authorized enrolled learner. Access periods, if limited, will be disclosed in the course offer or purchase information. Access credentials are personal and may not be shared, transferred, resold, sublicensed, or used to provide unauthorized access to another person.

7. Intellectual Property License

Course text, curricula, frameworks, assessments, graphics, branding, downloads, certificates, audiovisual materials, and other platform content are owned by or licensed to dMix Brazil eCourses or the applicable content owner and are protected by intellectual-property laws. Subject to these Terms, you receive a limited, personal, non-exclusive, non-transferable, revocable license to access purchased content for your own learning and professional development.

You may not reproduce, republish, distribute, sell, sublicense, translate for redistribution, scrape, systematically download, publicly display, create unauthorized derivative commercial products from, or use course content to train or populate another course, database, model, platform, or commercial knowledge product without prior written permission.

8. Assessments, Certificates, and Integrity

You are responsible for completing assessments and course requirements honestly. We may withhold, revoke, correct, or invalidate a certificate when there is reasonable evidence of account sharing, automated completion, unauthorized assistance, manipulation, fraud, or other material breach of course-integrity requirements.

9. Community and User Conduct

If discussion, member-profile, messaging, comment, group, or other community features are available, you agree not to use them to harass others; impersonate another person; post unlawful, infringing, defamatory, fraudulent, abusive, or malicious material; distribute malware; scrape member data; send unauthorized commercial solicitations; or interfere with platform security or operation.

10. User Content

You retain ownership of original content you submit, subject to any rights necessary for us to host, display, process, moderate, and administer that content within the service. You represent that you have the rights necessary to submit it. We may remove content that violates these Terms or applicable law.

11. Refunds

Refund eligibility is governed by the Refund & Cancellation Policy in effect at the time of purchase, which is incorporated into these Terms by reference. Nothing in these Terms limits any non-waivable consumer right provided by applicable law.

12. Third-Party Services

The platform may depend on third-party providers for payment processing, hosting, authentication, email delivery, analytics, or other functionality. We are not responsible for third-party services outside our control, although we remain responsible for obligations that applicable law places directly on us.

13. Suspension and Termination

We may suspend or terminate access when reasonably necessary to address nonpayment, fraud, security risks, unlawful use, account sharing, intellectual-property violations, abusive conduct, or other material breach of these Terms. Where appropriate, we may provide notice and an opportunity to cure.

14. No Guarantee of Particular Results

Learning outcomes depend on many factors outside our control. We do not guarantee employment, promotion, income, business results, investment performance, professional licensing, academic admission, personal transformation, or any other particular result from completing a course.

15. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the platform and course content are provided on an “as available” basis. We do not warrant uninterrupted or error-free operation or that every course will remain available indefinitely in exactly the same form. This section does not exclude warranties or rights that cannot lawfully be excluded.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Arpex Web LLC and dMix Brazil eCourses will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the platform or course content. Any limitation applies only to the extent permitted by law and does not limit liability that cannot legally be limited.

17. Indemnification

To the extent permitted by law, you agree to defend and indemnify Arpex Web LLC and dMix Brazil eCourses against third-party claims arising from your unlawful use of the platform, infringement of another person’s rights, misuse of course content, or material breach of these Terms.

18. Governing Law

These Terms are governed by the laws of the State of Florida and applicable federal law, without regard to conflict-of-law principles, except where mandatory consumer-protection law in your jurisdiction applies regardless of contractual choice of law.

19. Dispute Resolution and Venue

Before filing a formal claim, the parties are encouraged to attempt in good faith to resolve the dispute through written notice and direct discussion. Unless mandatory law provides otherwise, judicial proceedings relating to these Terms will be brought in a court of competent jurisdiction in Florida. 20. Electronic Transactions

You agree that contracts, notices, disclosures, purchase confirmations, and other records may be provided electronically, and that electronic actions such as checking an acceptance box or completing a purchase may evidence assent where permitted by law.

21. Changes to These Terms

We may update these Terms prospectively. Material changes will be posted with an updated effective date and, where legally required or appropriate, additional notice. Terms applicable to a completed purchase will not be retroactively changed in a manner that unlawfully deprives you of material purchased rights.
